Terms and Conditions

⚠️ Placeholder text. This document is a reasonable starting draft for an EU-based developer-API business and is not a substitute for legal review. Before going live, have a qualified lawyer (ideally one familiar with EU consumer protection, GDPR, and B2B SaaS law) review and customise it for your specific jurisdiction, entity type and risk profile.

1. Definitions

2. Acceptance

By creating an Account or using the Service, you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.

3. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction if it is higher. The Service is a paid product and creating an Account forms a binding contract, which a minor generally cannot validly enter. If you are acting on behalf of an organisation, you warrant that you are authorised to bind that organisation to these Terms.

4. The Service

We provide programmatic access to data APIs (currently: ephemerides). We aim for, but do not guarantee, the availability, accuracy or fitness for any particular purpose of the data, except as required by applicable mandatory law. Enterprise plans may include a separately-negotiated SLA. The data is provided for informational purposes only; it is not an official, certified, surveyed or real-time source, and must not be relied upon as the sole basis for navigation, flight planning, or any safety-of-life or legally-regulated timing decision (see our Safe Use & Disclaimers).

5. Subscriptions and billing

6. Right of withdrawal (EU consumers only)

If you are a consumer resident in the EU, you have the right to withdraw from a paid subscription within 14 days of purchase without giving any reason. However, by signing up to a paid plan and using the Service during the 14-day period, you expressly consent to immediate performance and acknowledge that you will lose the right of withdrawal once we have begun performance. The Free tier is provided at no charge and is not subject to withdrawal.

7. Acceptable use

You may not:

We may suspend or terminate Accounts found in breach.

No safety-critical or navigational use. The Service outputs astronomical calculations for general information. You must not use it as a sole or primary source for aviation (including determining the legal start or end of night, flight planning, pilot currency, or aircraft lighting times), for maritime navigation (including navigation-light timing or celestial navigation), or for any other safety-of-life or legally-regulated timing decision. Our times are elevation-corrected and deliberately differ from the standard, level-horizon civil-twilight times that regulators require; they are not a legal reference. You are responsible for independently verifying any time-critical value against the official source for your jurisdiction. See our Safe Use & Disclaimers.

8. API Keys

API Keys are personal to your Account. You are responsible for keeping them secret and for all activity performed using your Keys. We store only a SHA-256 hash of each Key — the plaintext is shown once at creation and cannot be recovered. If you suspect a Key has been compromised, revoke it immediately from your dashboard.

9. Account lifecycle

10. Intellectual property

The Service, including all software, documentation, layouts, trademarks and the underlying data-processing methods, are and remain our property or that of our licensors. We grant you a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms and your subscription.

Responses returned by the APIs may be used in your applications without separate attribution, subject to the acceptable-use limits above. The raw, bulk underlying data is not licensed.

11. Confidentiality

Each party shall keep confidential any non-public information disclosed by the other in the course of using or providing the Service and shall use it only as necessary to perform under these Terms.

12. Disclaimers

Except as required by mandatory law, the Service is provided "as is" and "as available" without warranties of any kind. We do not warrant uninterrupted operation, error-free results, or fitness for any specific purpose. In particular, the Service is not designed or certified for safety-of-life, aviation, maritime, or other safety-critical use, and we expressly disclaim fitness for any such purpose. Statutory rights of consumers under applicable mandatory law are not affected.

13. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any and all claims arising out of or relating to the Service in any 12-month period shall not exceed the greater of (i) the amounts you paid us in that period or (ii) one hundred euro (€100). We are not liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms excludes or limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded by mandatory law.

14. Indemnity

You will indemnify and hold us harmless against any third-party claim arising out of (i) your breach of these Terms or applicable law or (ii) your use of the Service in violation of third-party rights.

15. Changes to the Service or these Terms

We may modify the Service or these Terms with reasonable advance notice (by email and/or in-product banner). Where a change materially reduces your rights, you may terminate your subscription before the change takes effect and receive a pro-rated refund of any pre-paid period not yet used.

16. Termination

Either party may terminate these Terms at any time by following the Account-lifecycle process or by ceasing to use the Service. Sections that by their nature should survive termination (e.g. intellectual property, limitation of liability, indemnity, governing law) survive termination.

17. Governing law and jurisdiction

These Terms are governed by the laws of Ireland, excluding its conflict-of-laws rules. Any dispute shall be subject to the exclusive jurisdiction of the courts of Ireland, without prejudice to the mandatory consumer-protection rights of EU residents to bring proceedings in the courts of their habitual residence.

EU consumers may also use the European Commission's Online Dispute Resolution platform.
